InGain LLC — Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the ingainllc.com website and any commercial transactions entered into with InGain LLC. By accessing our website or placing an order, you agree to be bound by these Terms.

InGain LLC is a Wyoming-registered limited liability company (Reg. No. 2023-001265496) with a registered address at 30 N Gould St, Ste 34541, Sheridan, WY 82801, USA and an international operations hub in Yerevan, Armenia.


1. B2B Services Only

InGain LLC operates exclusively as a business-to-business (B2B) service provider. Our services are available to roasters, wholesale buyers, distributors, private label brand owners, and other commercial entities. We do not sell directly to individual end consumers.

By placing an enquiry, requesting a sample, or entering into a commercial agreement with InGain LLC, you confirm that you are acting in a business capacity and are authorised to enter into commercial contracts on behalf of your organisation.


2. Products and Services

InGain LLC provides the following services:

Sourcing and supply of green coffee beans from DUNS-verified suppliers in India, Vietnam, and Ethiopia.

Acting as Importer of Record (IOR) for all US CBP customs clearance, including ISF filing, CBP entry forms 3461 and 7501, and customs bond administration.

FSVP compliance guidance for US buyers acting as FSVP importers of record with the FDA.

Private label solutions including roast and pack services via vetted partner facilities at origin.

Logistics coordination from origin port to US warehouse or US port of entry.


3. Quotations and Orders

All prices and quotes are indicative until confirmed in a signed Proforma Invoice. Prices are subject to commodity market fluctuations, freight rate changes, and currency movements. A quote is valid for the period stated on the Proforma Invoice, typically five to ten business days.

An order is confirmed upon InGain LLC's written acceptance and receipt of the agreed deposit as stated on the Proforma Invoice, typically 30–50% of the total order value.


4. Payment Terms

InGain LLC does not accept payments through the website. All payments are made via bank wire transfer (ACH or SWIFT) or secure card payment via external links provided directly by InGain LLC.

Payment must be made in US dollars unless otherwise agreed in writing. Balance payment is due upon presentation of the final invoice following successful CBP customs clearance and prior to or upon delivery of cargo.


5. Importer of Record and Customs Compliance

InGain LLC acts as the Importer of Record (IOR) for all shipments entering the United States under our commercial agreements. In this role, InGain LLC handles all CBP filings including the Importer Security Filing (ISF), CBP Entry Form 3461 (Entry and Immediate Delivery), CBP Entry Form 7501 (Entry Summary), customs bond administration, and coordination of export documentation including phytosanitary certificates and certificates of origin.

InGain LLC does not act as the FDA Foreign Supplier Verification Program (FSVP) importer of record for the buyer. Under US law, the FSVP importer of record with the FDA is the US-based buyer — the entity purchasing the food for US distribution. InGain LLC guides every client through their FSVP obligations and provides a compliance checklist. The buyer retains full responsibility for maintaining their FSVP plan and records.

Green coffee beans are classified under HTS Chapter 09 and are subject to 0% US import duty at the time of publication of these Terms. Duty rates are subject to change by US Customs authorities and are not guaranteed.


6. Incoterms and Transfer of Risk

InGain LLC offers shipments under the following Incoterms 2020: FOB (Free on Board), FCA (Free Carrier), CIF (Cost, Insurance and Freight), CIP (Carriage and Insurance Paid To), CFR (Cost and Freight), and CPT (Carriage Paid To). InGain LLC does not offer DDP (Delivered Duty Paid) terms.

Risk of loss or damage transfers from InGain LLC to the buyer at the point specified by the agreed Incoterm. Where InGain LLC manages full customs clearance and inland delivery as IOR, risk transfers upon delivery of cargo to the buyer's designated US warehouse.


7. Quality, Specifications and Inspections

Coffee is an agricultural product. Minor variation between sample lots and commercial lots within industry-standard tolerances is inherent to the product and does not constitute a defect.

InGain LLC employs the following quality verification measures: physical checks at origin supplier facilities conducted by our team in Armenia, third-party pre-shipment inspection by accredited bodies including SGS or Bureau Veritas on request for larger orders, and sensory and technical evaluation at our Yerevan, Armenia operations hub.

Technical datasheets including moisture content, screen size, and processing method are provided for each commercial lot. Buyers are responsible for conducting their own evaluation and are strongly encouraged to request and test a free sample prior to placing a commercial order.


8.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INGAIN LLC PROVIDES GREEN COFFEE PRODUCTS AS-IS. INGAIN LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ONLY WARRANTIES PROVIDED BY INGAIN LLC ARE THOSE EXPRESSLY STATED IN THE CONFIRMED PROFORMA INVOICE FOR EACH SPECIFIC ORDER. GREEN COFFEE IS AN AGRICULTURAL COMMODITY SUBJECT TO NATURAL VARIATION WITHIN INDUSTRY-STANDARD TOLERANCES. SUCH NATURAL VARIATION DOES NOT CONSTITUTE A WARRANTY BREACH.


9. Samples

InGain LLC provides free green coffee samples of 350g to 1kg to qualified B2B buyers. The coffee is provided at no charge. The buyer is responsible for international courier costs, typically USD 30–60 (it may differ based on the changes in the courier fees based on then rates) to US addresses. Sample requests are processed within 3–5 business days of confirmation. InGain LLC reserves the right to decline sample requests from entities that do not represent a genuine B2B interest.


10. Force Majeure

InGain LLC shall not be liable for delays or failure to perform obligations under any commercial agreement where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, port congestion, shipping route disruptions (including Red Sea and Suez Canal disruptions), government actions, trade embargoes, customs authority delays, or other circumstances of force majeure. We will notify the buyer promptly and provide revised delivery estimates where possible.


11. Limitation of Liability

InGain LLC's total liability to the buyer for any claim arising from a commercial transaction shall not exceed the total value paid by the buyer for the specific shipment in question. InGain LLC shall not be liable for any indirect, consequential, or punitive damages including loss of profit, loss of business opportunity, or market losses arising from shipping delays, cargo damage, regulatory changes, or commodity price movements.


12. Intellectual Property

All content on ingainllc.com including origin descriptions, technical coffee profiles, blog articles, imagery, and the InGain LLC brand is the intellectual property of InGain LLC. Reproduction, distribution, or use of any content without prior written permission is strictly prohibited.


13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States of America. Any disputes arising from these Terms or from commercial transactions with InGain LLC shall be subject to the exclusive jurisdiction of the courts of the State of Wyoming. The United Nations Convention on International Sale of Goods (CISG) is expressly excluded from and shall not govern any commercial agreement between InGain LLC and the buyer, regardless of the nationalities or locations of the parties.


14. Amendments

InGain LLC reserves the right to update these Terms at any time. The effective date at the top of this page reflects the current version. Continued use of the website or placement of orders after an update constitutes acceptance of the revised Terms.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Proforma Invoice for each confirmed order, constitute the entire agreement between InGain LLC and the buyer regarding the subject matter hereof and supersede all prior representations, discussions, and understandings whether written or oral.
